Didn't look at all of the pics but both bikes look like they have been around for awhile and have been neglected.  Not sure what your question is.  Are you looking to buy these or just fix one up?  The one has a Dura Ace rear Derailuer which is a higher end part (but this one looks fairly old).  I don't know bikes all that well but these may have been pretty decent bikes when they are new.

Plan on taking either one to your Local Bike Shop (LBS) and having them look them over or tune them up.  Probably for $100-200 you can get them operational and would probably be good as a starter bike for doing tri's.

You may just want to post a few pics of the entire bike and post on the Tri talk or Gear section to get more feedback.
